These Terms and Conditions of Use ("Terms") explain the basis upon which you may access and use the Cyclekits mobile application, website, and related features, including any content, functionality, marketplace, and services provided through them (together, the "App" or "Services").

These Terms are a legally binding agreement between you ("you" or "your") and Cycle HealthTech Ltd. ("Cyclekits," "we," "us," or "our").

By downloading, registering with, or otherwise using the App, you:

• confirm that you have read, understood, and agree to these Terms;
• consent to the processing of your personal data as set out in our Privacy Policy (available at www.cyclekits.ng/privacy-policy); and
• agree that any use of the Services will be strictly in compliance with these Terms and applicable laws.

If you do not agree to these Terms, you must not use the App.

We may update these Terms from time to time to reflect changes in law, regulatory requirements, or improvements in our Services. Updated Terms will be published on the App, and continued use after the effective date constitutes acceptance of the changes.

Who May Use the Services

Eligibility

You may use the Services only if you are able to enter into a legally binding contract under applicable law. By accessing or using the App, you represent and warrant that:

• you are at least 18 years old, or you are under 18 but using the Services with the full knowledge, consent, and supervision of a parent or legal guardian;
• you are female (biologically defined as capable of producing ova that can be fertilised by male gametes), or you are using the Services on behalf of a female relative or dependent, with their consent; and
• you have the legal authority to agree to these Terms and to bind yourself, or the individual on whose behalf you are acting, to these Terms.

Use by Minors

The Services are not intended for unsupervised use by persons under 18 years of age.
Where a minor uses the App, the parent or legal guardian is deemed to have accepted these Terms on behalf of the minor and shall remain responsible for their use of the App.
We do not knowingly process the personal data of minors without parental consent. If we become aware that we have collected such data without consent, we will take immediate steps to delete it.

Prohibited Users

You must not use the Services if:

• you are barred under the laws of Nigeria or any other jurisdiction from receiving services of this nature;
• you have been previously suspended or terminated by Cyclekits for breach of these Terms; or
• your use would expose Cyclekits to regulatory, legal, or reputational risk.

The Services We Provide

Cyclekits provides a digital platform designed to support women's health, wellness, and hygiene management. The Services offered through the App may include, without limitation, the following:

Menstrual and Fertility Tracking

Users may input menstrual cycle data to receive predictions of expected period dates and fertility windows. These predictions are for informational purposes only and are not guaranteed to be accurate. Cyclekits accepts no responsibility for medical, fertility, or contraceptive decisions made in reliance on such predictions.

Optional Tracking of Sexual Activity

Users may log details relating to unprotected sexual activity. This feature is optional and any data recorded is private to the user unless expressly shared with a healthcare provider. Cyclekits does not access or monitor such data for medical purposes and assumes no liability for its accuracy or use.

Custom Reminders and Alerts

Users may receive notifications about menstrual cycles, estimated fertility days, medications, or related wellness activities. Cyclekits does not guarantee delivery of all notifications and disclaims liability for missed or delayed reminders.

Vendor Marketplace

The App hosts a marketplace where third-party vendors display and sell products. Vendors are independent businesses and are not agents or representatives of Cyclekits. Cyclekits disclaims liability for any product defects, delivery failures, misrepresentations, or disputes arising between users and vendors.

Health Chat with Licensed Medical Representatives

Subscribers may access live chat with licensed healthcare representatives. These interactions are informational only and do not constitute medical diagnosis, treatment, or the establishment of a doctor-patient relationship. Users are encouraged to seek independent medical advice before acting on information provided.

Anonymous Community Interaction

The App provides forums and comment features where users may interact anonymously. Cyclekits reserves the right to monitor, moderate, or remove any content deemed offensive, unlawful, misleading, or in breach of these Terms.

Educational Content

The App may provide articles, tips, and resources on female health and wellness. Such content is general in nature, may not reflect the latest medical research, and should not be relied upon as a substitute for professional medical advice.

Service Availability

Cyclekits reserves the right to modify, suspend, or discontinue any part of the Services at its sole discretion and without liability. While we aim to keep the Services available, we do not guarantee uninterrupted access and shall not be liable for downtime, delays, or errors.

Privacy and Data Protection

Data Collection and Processing

To use the App, you may be required to create an account and provide personal information, which may include your name, date of birth, contact details, and health-related information. By using the Services, you consent to the collection, use, storage, and processing of your personal data in accordance with our Privacy Policy (available at www.cyclekits.ng/privacy-policy). We process personal data strictly in compliance with the Nigeria Data Protection Act, 2023 (NDPA) and, where applicable, other international data protection standards.

Sensitive Health Data

Certain features of the App involve the processing of sensitive personal data (such as menstrual cycle details, fertility information, or sexual activity logs). You acknowledge and agree that:

• you are providing such data voluntarily;
• such data will be used solely for the purpose of providing the Services to you; and
• Cyclekits will apply appropriate technical and organisational measures (including encryption, secure servers, and access controls) to safeguard this information.

Use by Minors

If you are under 18, your parent or legal guardian must consent to the collection and processing of your personal data. Cyclekits does not knowingly process children's data without such consent. If we discover that a minor has provided personal data without valid consent, we will take steps to delete such data immediately.

Data Sharing

We may share data with third-party service providers (e.g., payment processors, logistics partners, medical representatives) only as necessary to deliver the Services.
We do not sell, rent, or lease user data to third parties.
Where third-party vendors provide products through our marketplace, your transactions with them may involve the sharing of limited personal data, for which the vendor is independently responsible.

International Transfers

Your data may be transferred and stored outside Nigeria where our servers or service providers are located. In such cases, Cyclekits shall ensure that appropriate safeguards are in place.

User Rights

In line with applicable data protection laws, you have the right to:

• request access to your personal data;
• request correction or deletion of your data;
• withdraw consent at any time;
• restrict or object to certain processing; and
• lodge complaints with the Nigeria Data Protection Bureau or relevant supervisory authority.

Liability for Data Accuracy

You are solely responsible for ensuring the accuracy of the data you provide. Cyclekits disclaims liability for consequences resulting from inaccurate, outdated, or incomplete data supplied by you.

User-Generated Content

Responsibility for Content

The App allows users to post comments, participate in discussions, and share other forms of content (collectively, "User-Generated Content"). You acknowledge and agree that:

• any User-Generated Content you submit reflects your own views and not those of Cyclekits;
• you are solely responsible for all User-Generated Content you provide; and
• you must not post content that is unlawful, misleading, defamatory, offensive, obscene, discriminatory, harassing, or otherwise inappropriate.

Licence to Cyclekits

By submitting User-Generated Content through the App, you grant Cyclekits a worldwide, perpetual, irrevocable, royalty-free, non-exclusive, transferable licence (with the right to sublicense) to use, reproduce, adapt, publish, translate, distribute, and display such content in connection with the operation and promotion of the Services.

Monitoring and Moderation

Cyclekits reserves the right, but not the obligation, to:

• monitor User-Generated Content for compliance with these Terms;
• edit, restrict, or remove any content that, in our sole discretion, breaches these Terms or may expose us to liability; and
• suspend or terminate your account if you repeatedly post harmful or unlawful content.

Prohibited Content

You agree not to post or share User-Generated Content that:

• promotes harmful or unsafe medical practices;
• provides sexually explicit or pornographic material;
• infringes intellectual property or privacy rights of others;
• constitutes hate speech, threats, or harassment;
• contains malware, viruses, or other harmful code.

Liability Disclaimer

Cyclekits does not endorse, verify, or guarantee the accuracy, reliability, or quality of User-Generated Content. You agree that your reliance on such content is at your own risk and that Cyclekits shall not be liable for any damages or losses arising from such reliance.

Notice and Takedown

If you believe that User-Generated Content infringes your rights or violates applicable law, please notify us at [email protected] with sufficient details for us to investigate. Cyclekits will act expeditiously to review and, where appropriate, remove the reported content.

Medical Services Disclaimer

Informational Purpose Only

The App and all content provided through it are offered for general informational and educational purposes only. They are not intended, and must not be used, as a substitute for professional medical advice, diagnosis, or treatment.

No Doctor-Patient Relationship

Use of the App, including participation in chats with licensed medical representatives, does not create a doctor–patient relationship between you and Cyclekits, its employees, contractors, or representatives.

Professional Medical Advice

You should always seek the advice of a qualified healthcare professional with any questions you may have regarding a medical condition, menstrual health, reproductive health, or other healthcare concerns. Never disregard professional advice, delay seeking it, or make health-related decisions solely on the basis of information provided through the App.

Emergencies

If you believe you are experiencing a medical emergency, call your local emergency number or immediately seek assistance from a licensed healthcare facility. Cyclekits does not provide emergency medical services.

Limitations of Information

Cycle predictions, fertility windows, or reminders generated by the App are estimates only and may not reflect your actual cycle or fertility status. We disclaim liability for unintended outcomes such as unplanned pregnancies, failed contraceptive methods, or fertility miscalculations arising from reliance on App data. Information provided through health chats or community interactions may not reflect the most current medical standards or individualised medical advice.

Exclusion of Liability

To the fullest extent permitted by law, Cyclekits disclaims all liability for:

• any loss, injury, claim, or damage arising from reliance on information provided through the App;
• outcomes of medical, lifestyle, or reproductive decisions made based on App features; and
• omissions, errors, or technical inaccuracies in health-related content.

Nothing in these Terms excludes liability where it would be unlawful to do so (for example, liability for death or personal injury caused by negligence, or fraud).

Subscriptions and Payments

Subscription Services

Some features of the App, including but not limited to product delivery, health chat with licensed medical representatives, or access to premium content, may only be available through paid subscription plans. Subscription options, prices, billing cycles, and cancellation terms will be clearly displayed before purchase.

Billing and Payment

By purchasing a subscription, you authorise Cyclekits and/or its authorised third-party payment processors to charge your chosen payment method (e.g., debit/credit card, bank transfer, wallet, or mobile money).
Payments must be made in the currency stated at the point of purchase.
You are responsible for ensuring that your payment details are accurate and up to date.

Automatic Renewal

Unless otherwise stated, subscriptions will automatically renew at the end of the billing cycle (monthly, quarterly, or annually), and the applicable fee will be charged to your payment method.
You may disable auto-renewal at any time through your account settings before the renewal date.

Refunds and Cancellations

Fees paid are non-refundable, except as required by applicable law.
If you cancel a subscription, you will continue to have access until the end of your current billing cycle, after which the subscription will not renew.
Refunds are not issued for partial billing periods, unused features, or downgrades during an active subscription.

Failure to Pay

Cyclekits reserves the right to:

• suspend or terminate your access to paid Services if payment is not received on time; and
• recover any outstanding amounts owed, including by deducting from your stored payment method or taking legal action if necessary.

Changes to Fees

We may revise our subscription fees from time to time. Any fee changes will be communicated in advance and will only take effect at the start of your next billing cycle unless otherwise required by law.

Taxes

All subscription fees are exclusive of applicable taxes, levies, or duties unless expressly stated. You are responsible for paying any such taxes associated with your subscription.

Device, Connectivity, and Technical Usage

User Responsibility

You are solely responsible for ensuring that you have the necessary hardware, software, internet connection, and mobile data plan to access and use the App.
Cyclekits does not provide internet access, mobile data, or devices, and we are not responsible for any charges imposed by your network provider.
You are responsible for maintaining the security of your device, including installing appropriate antivirus, firewall, and security updates.

Compatibility

The App may not function correctly on all devices, operating systems, or browsers. We do not guarantee that the App will be compatible with your device.
Cyclekits disclaims liability for any failures, errors, or reduced functionality resulting from device incompatibility, outdated software, or third-party modifications.

Connectivity and Service Interruptions

Access to the App may be interrupted, suspended, or restricted due to maintenance, technical issues, or circumstances beyond our control.
We do not guarantee that the App will always be error-free, uninterrupted, or available at all times.
Cyclekits shall not be liable for losses, damages, or claims arising from:

• downtime or service interruptions;
• data delays or transmission errors; or
• loss of data due to network or connectivity failures.

Data Security and Transmission Risks

While Cyclekits implements industry-standard security measures, you acknowledge that:

• the internet is not a fully secure environment;
• transmissions of data may be intercepted or corrupted; and
• Cyclekits does not guarantee that the App or any data transmitted through it will be free from viruses, malware, or other harmful components.

Passwords

You are responsible for taking all reasonable steps to ensure that no unauthorized person shall have access to your App password or account. It is your sole responsibility to:

• Control the dissemination and use of your phone number and passwords;
• Authorize, monitor, and control access to and use of your App account and password;
• Promptly inform us if you believe your account or password has been compromised or if there is any other reason you need to deactivate a password. Send us an email at [email protected]. You grant us and all other persons or entities involved in the operation of the App the right to transmit, monitor, retrieve, store, and use your information in connection with the operation of the App;
• Acknowledge and agree that the App and account are designed and intended for personal use on an individual basis and you should not share your account and/or password details with another individual. We cannot and do not assume any responsibility or liability for any information you submit, or your or third parties' use or misuse of information transmitted or received arising from using the App, and shall not be responsible for any losses arising out of the unauthorized use of your account or information resulting from you not following these rules.

Intellectual Property Rights

Ownership

All intellectual property rights in the App, including but not limited to its software, source code, design, user interface, databases, text, images, graphics, trademarks, service marks, domain names, and other content (collectively, the "Content"), are the exclusive property of Cycle HealthTech Ltd. or its licensors. All rights not expressly granted under these Terms are reserved. Nothing in these Terms transfers to you any ownership of or rights in the Content.

Licence to Use

Subject to your compliance with these Terms, Cyclekits grants you a limited, personal, non-exclusive, non-transferable, revocable licence to download, install, and use the App and its Content for your personal, non-commercial purposes only.
You must not:

• copy, modify, distribute, display, transmit, or create derivative works of the App or its Content;
• reverse-engineer, decompile, or disassemble any part of the App;
• remove, obscure, or alter any copyright, trademark, or proprietary notices;
• use the App or Content for commercial purposes without our prior written consent.

User-Generated Content

By posting or submitting User-Generated Content on the App, you:

• represent and warrant that you own or have the necessary rights to such content; and
• grant Cyclekits a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, transferable licence (with the right to sublicense) to use, reproduce, adapt, distribute, publish, display, and otherwise exploit such content in connection with the Services.

You waive any moral rights you may have in such User-Generated Content to the extent permitted by law.

Trademarks

"Cyclekits" and associated logos, product names, and slogans are trademarks of Cycle HealthTech Ltd. You may not use our trademarks without our prior written permission. Any unauthorised use may constitute trademark infringement. Third-party trademarks appearing on the App are the property of their respective owners and do not imply endorsement or association.

Hyperlinks and third party sites

The App may contain hyperlinks or references to third party advertising and websites other than the App. Any such hyperlinks or references are provided for your convenience only. We have no control over third party advertising or websites and accept no legal responsibility for any content, material or information contained in them. The display of any hyperlink and reference to any third party advertising or website does not mean that we endorse that third party's website, products or services. Your use of a third party site may be governed by the terms and conditions of that third-party site and is at your own risk.

Limitation of Liability

No Guarantee of Results

The Services are provided on an "as is" and "as available" basis. Cyclekits makes no warranties or representations, express or implied, that:

• the App will always be available, uninterrupted, secure, or error-free;
• the Services will meet your expectations or specific requirements; or
• predictions, reminders, or information generated by the App will be accurate, complete, or reliable.

Exclusions of Liability

To the fullest extent permitted by law, Cyclekits and its officers, directors, employees, agents, contractors, licensors, and affiliates shall not be liable for any:

• indirect, incidental, special, consequential, or punitive damages;
• loss of profits, revenue, savings, goodwill, or business opportunities;
• loss, corruption, or unauthorised disclosure of data;
• reliance on menstrual cycle predictions, fertility estimates, or reminders;
• reliance on information from medical representatives, vendors, or other users;
• disputes between users and third-party vendors on the marketplace;
• damages caused by malware, viruses, service interruptions, or technical failures;
• unauthorised access to, or misuse of, your account or data (where you have failed to maintain password security).

Maximum Liability Cap

In no event shall Cyclekits' total aggregate liability to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, exceed the total amount you have paid to Cyclekits for the Services in the twelve (12) months preceding the event giving rise to the claim.

Force Majeure

Cyclekits shall not be held responsible or liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from events, circumstances, or causes beyond its reasonable control ("Force Majeure Event").

Examples of Force Majeure Events

Force Majeure Events include, but are not limited to:

• acts of God (such as floods, earthquakes, storms, or natural disasters);
• epidemics, pandemics, or public health emergencies;
• acts of war, terrorism, civil commotion, or riots;
• strikes, industrial disputes, or labour shortages;
• failures, interruptions, or outages in telecommunications, internet, power, or hosting services;
• cyberattacks, hacking, ransomware, denial-of-service attacks, or other malicious technological events;
• acts or omissions of government authorities, regulatory changes, or court orders; and
• any other event beyond Cyclekits' reasonable control.

Effect of a Force Majeure Event

Cyclekits' obligations will be suspended for the duration of the Force Majeure Event.
Where possible, Cyclekits will use reasonable efforts to mitigate the impact of the event and resume services promptly.
Cyclekits shall not be liable for any losses, damages, or claims arising out of or in connection with a Force Majeure Event.

Termination and Suspension

Our Right to Terminate or Suspend

We may, at our sole discretion and without prior notice, suspend, restrict, or permanently terminate your access to the App and Services if:

• you breach or violate these Terms or our Privacy Policy;
• you provide false, misleading, or inaccurate information during registration or use of the App;
• you fail to pay any applicable subscription or service fees when due;
• you misuse the App, including by engaging in unlawful, abusive, fraudulent, or harmful activity;
• we are required to do so by law, regulation, or a government authority; or
• continued provision of the Services to you is no longer commercially or technically viable.

Your Right to Terminate

You may terminate your account at any time by following the account closure process provided in the App or by contacting us at [email protected]. Termination will take effect once your request is processed.

Effect of Termination

Upon termination of your account:

• your licence to use the App and Services will immediately cease;
• any outstanding fees or charges owed to Cyclekits will remain payable and enforceable;
• you will not be entitled to any refund for fees paid, except as required by applicable law;
• we may retain your personal data only as permitted by our Privacy Policy and applicable law; and
• Cyclekits shall have no liability to you or any third party for suspension or termination of your account.

Survival of Terms

Any provisions of these Terms that, by their nature, should survive termination (including but not limited to intellectual property, limitation of liability, indemnity, and dispute resolution) shall continue to apply after termination.

No third party rights

No one other than us or you has any right to enforce any of these Terms.

Variation

No changes to these Terms are valid or have any effect unless agreed by us in writing or made in accordance with this clause 1. We reserve the right to vary these Terms from time to time. Our updated Terms will be displayed on the App and by continuing to use and access the App following such changes, you agree to be bound by any variation made by us. It is your responsibility to check these Terms from time to time to verify such variations.

Governing Law and Dispute Resolution

Governing Law

These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter, shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Good Faith Negotiation

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties shall first seek to resolve the matter amicably through good-faith negotiations within thirty (30) days of written notice of the dispute.

Mediation

If the dispute is not resolved through negotiation, either party may submit the dispute to mediation under the auspices of the Lagos Multi-Door Courthouse (LMDC) or such other recognised mediation centre in Nigeria.

Arbitration

If the dispute remains unresolved after mediation, it shall be referred to and finally resolved by arbitration under the Rules of the Lagos Court of Arbitration (LCA), which rules are deemed incorporated by reference into this clause.
The arbitral tribunal shall consist of one (1) arbitrator appointed in accordance with the LCA Rules.
The seat of arbitration shall be Lagos, Nigeria.
The language of arbitration shall be English.
The award rendered by the arbitrator shall be final and binding on the parties, and judgment upon the award may be entered in any court of competent jurisdiction.

Jurisdiction of Nigerian Courts

Subject to the arbitration clause above, the courts of Lagos State, Nigeria shall have exclusive jurisdiction to hear and determine any proceedings that may arise out of these Terms.

Your feedback

We welcome your feedback about the App. Unless otherwise expressly declared, any communications you send to us or publish in app stores are deemed to be submitted on a non-confidential basis. You agree that we may decide to publicise such contents at our own discretion. You agree to authorize us to make use of such contents for free, and revise, modify, adjust and change its contextually, or make any other changes, in each case as we deem appropriate.
